Terms & Conditions
General
As an official dealer of Only NY you represent and acknowledge the value and integrity of the brand.
A signed, acknowledged or accepted purchase order is a legally binding agreement by and between the signer and Only NY that binds the signer to purchase the outlined goods from us.
Payment
All orders must be paid for in full before shipment.
Accepted payment methods: Wire transfer, Credit Card and PayPal:
All Credit Card and PayPal payments are subject to a 3% transaction fee.
All Wire Transfer fees/charges are the customers responsibility, including any intermediary or receiving bank fees.
Payment must be made within 14 days of the date you are notified that your order is ready to ship. Failure to pay within 14 days will result in a $1 per piece holding fee for every week past the payment due date.
Credit Card Authorization
All wholesale accounts must maintain a valid Credit Card Authorization Form on file with Only NY. By submitting the form, you authorize Only NY to charge your card for any outstanding balances. If payment has not been received within 14 days of notification that your order is ready to ship, Only NY reserves the right to automatically charge the card on file for the full invoice amount plus the 3% credit card transaction fee.
Failure to pay within NET30 may result in your order being CANCELLED with a 10% re-stocking fee charged for inventory incurred and possible termination of your account.
Order Requirements and Confirmation
Customers are required to meet a minimum of $2,500.00 on each wholesale order excluding shipping costs.
All wholesale orders must be submitted through the Only NY B2B wholesale website unless otherwise expressly authorized in writing by Only NY. Orders placed outside of the designated B2B platform without prior written approval will not be processed. Upon receipt and approval of your order, Only NY will issue an official order confirmation via email. Orders are confirmed only when acknowledged in writing by Only NY.
Changes or cancellations after order confirmation must be approved in writing and may be subject to a 10% restocking fee if production has already begun.
Pricing
All prices are listed in U.S. Dollars and are exclusive of applicable taxes, shipping, and handling fees unless otherwise stated in writing by Only NY.
Only NY reserves the right to change wholesale prices at any time without prior notice. Price changes will not affect confirmed orders that have already been invoiced. If a payment invoice has not yet been issued to the customer by Only NY, these changes to pricing will be reflected on the appropriate invoice.
In order to maintain brand value and market consistency, we recommend that our products be sold at or above the MSRP provided on the wholesale price list. Any advertised price reductions below Only NY sold at pricing must be pre-approved in writing by Only NY.
Shipping
All shipments will be sent to the shipping address provided in order confirmation unless otherwise specified.
All domestic shipments will be made via UPS while all international shipments will be made via FedEx. Alternative carriers or methods of shipment are available upon request and must be specified when placing order and approved by Only NY in writing.
Please allow up to 3-5 business days after processing for all domestic shipments and 5-7 business days for all international shipments.
All shipping costs are paid for by the customer and shipped on Only NY’s UPS account, with insurance, unless alternative logistics are agreed upon in writing.
Actual shipping charges are determined when your order is packed and ready to ship, rates are calculated through UPS calculator.
Risk of loss passes to the buyer upon carrier pickup
Sales & Distribution Restrictions
Wholesale products are for your retail business only.
Products are to be sold strictly through your brick & mortar or e-commerce channels.
No products may be sold through 3rd party marketplaces, vendors, or other channels without prior written consent from Only NY.
Only NY reserves the right to terminate any wholesale account found to be violating this agreement.
Brand Representation and Intellectual Property
Products must be sold in their original condition without alteration, relabeling, or repackaging.
Use of brand name, logo, and imagery must be approved by Only NY.
The website, designs, products, images and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of Only NY.
Marketing and photography must reflect brand standards.
Return & Exchange Policy
Cancellations will be accepted only if agreed upon in writing by Only NY, or will otherwise incur a 10% restocking fee.
All claims and returns must be filed within 72 hours of receiving goods.
Damaged or defective goods will be accepted with photo proof in either credit to the buyer's account or full refund subject to case by case basis.
Washed, worn, or altered items are not eligible for return.
Only NY reserves the right to refuse any returns at our discretion.
European Union Shipping Restrictions
Due to legal restrictions Only NY cannot be shipped to or distributed within Europe.
By placing an order you acknowledge not to ship or distribute any Only NY products to the EU and EAA. Please note: failure to adhere to these restrictions may result in legal action brought on by a third party.
Termination
We cannot guarantee product availability.
Only NY may reduce or cancel quantities of products bought in order confirmation dependent on production and stock availability. The Purchaser shall remain bound by the adjusted order confirmation without the right to terminate from edits that are less than 25% of order.
Any revisions to an order will be alerted to and new confirmation will be sent for full visibility prior to invoicing and payment.
